STANDARD TERMS AND CONDITIONS OF FREECOM GROUP (PTY)LTD
On acceptance of your reseller application by FreeCom Group
(Pty) Ltd, the following terms and conditions apply:
Appointment:
FreeCom Group (Pty) Ltd hereby appoints the reseller, who
accepts this appointment as a reseller in the products listed
in the FreeCom Group product list. FreeCom Group will keep
its price list current and subject to change without notice.
The reseller, will operate independently of FreeCom Group
and is not a partner or agent of FreeCom Group (Pty) Ltd.
The reseller will not represent itself as such nor that it
has any authority to incur any obligation on behalf of FreeCom
Group (Pty) Ltd
Commencement
And Termination:
This agreement will commence on the date of signature by FreeCom
Group (Pty) Ltd and will continue indefinitely unless terminated
for the reason set out below:
FreeCom will be entitled to terminate this agreement immediately
upon notice in writing to the reseller:
• If there is no activity in the account for a period
of 6 months
• If the reseller fails to pay FreeCom Group (Pty) Ltd
by the due date any money due to FreeCom Group (Pty) Ltd in
Terms of this agreement.
• If the reseller does anything in contemplation of
insolvency or a material change occurs in the management or
control of the resellers business.
• If the reseller fails to ensure that its business
conforms to reasonable industry standards of business ethics
or quality in service.
Supply
Of Product and Payment:
FreeCom Group (Pty) Ltd will supply the reseller with the
product only upon payment of the price listed in the FreeCom
Group (Pty) Ltd price list and then on the following terms:
• Interest at the rate of 1% above the Nedbank of South
Africa’s prime interest rate (calculated monthly.) will
be charged on all amounts not paid on time – parts of
a month will be calculated as a whole month
• All cheques must be bank guaranteed, failing which
the cheque will be cleared before delivery of the product.
• The reseller will not be entitled to offset any amounts
claimed by the reseller against any money owing by the reseller
to FreeCom Group (Pty) Ltd.
Goods remain the property of FreeCom until paid in full.
Payment terms are cash, bank guaranteed cheque and EFT, goods
will
only be released when EFT payments reflect in our bank account.
Delivery:
FreeCom
Group (Pty) Ltd will provide free delivery service to resellers
within a 20 km radius of the company. Any further than that
there will be a fee levied on deliveries. This will be quoted
accordingly. FreeCom will use its best endeavours to accommodate
any other delivery requirements of reseller at the cost of
the reseller.
All prices are ex-warehouse and do not include cost of freight,
shipping or insurance thereof.
Ownership
and Risk:
Ownership of product obtained from FreeCom Group (Pty) Ltd
will remain with FreeCom Group (Pty) Ltd until FreeCom Group
(Pty) Ltd has received payment in full, but risk will pass
immediately on delivery.
Warranty:
A standard, carry in, six-month warranty is provided with
all refurbished systems purchased. This can be extended to
a year for an additional R150.00. The warranty on new Fast
Track units is a full 12 month, carry in warranty. The warranty
does not warrant freaks of nature, namely power surges, lightning,
etc.
All refurbished desktops and laptops have a one month carry-in
warranty on parts only. This warranty does NOT include laptop
batteries.
Credit:
Credit facilities may be applied for six months after the
initial date the reseller is accepted as a FreeCom Group (Pty)
Ltd Reseller. Only on receiving written confirmation from
FreeCom Group (Pty) Ltd that credit facilities have been approved,
will the reseller be able to make use of the credit facilities
with FreeCom Group (Pty) Ltd
